MUMBAI — HDFC Bank shares declined 1.25 per cent to trade at ₹698.10 on the National Stock Exchange (NSE) on Thursday morning, moving closer to their 52-week low of ₹681.90. The downward pressure followed reports that an ongoing internal investigation has found two senior executives to have allegedly disclosed confidential business strategies and potentially market-sensitive information to outsiders.
The bank confirmed that a review is currently taking place. A spokesperson stated that in line with institutional policies, an internal review into the matter is underway to gather and evaluate all relevant facts. The spokesperson added that appropriate action will be taken based on the findings once the review concludes. The probe’s findings were previously reported to senior management and certain board members earlier this year, and both executives have been formally informed, although no disciplinary action has been announced as yet.
The internal probe comes at a critical juncture for India’s largest private sector bank by market value, which is currently navigating a series of high-level leadership changes. Veteran ICICI Group executive Anup Bagchi is scheduled to assume the role of chief executive on October 27. He will succeed incumbent CEO Sashidhar Jagdishan, who is stepping down after a six-year tenure. Additionally, Deputy Managing Director Kaizad Bharucha, one of the bank's longest-serving executives, has announced his departure by the end of December. Earlier in March, then-chairman Atanu Chakraborty abruptly resigned due to differences with certain internal practices, though a subsequent independent legal review found those concerns to be unsubstantiated.
Market reaction to the developments was visible in heightened trading activity. Trading volumes reached 255.76 lakh shares by mid-session, which is nearly double the pace recorded on Wednesday. Market data indicated that sellers outweighed buyers, accounting for 55 per cent of the volume compared to 45 per cent for buyers. The stock has experienced a significant decline, falling nearly 30 per cent year-to-date and underperforming the Nifty 50 benchmark by approximately 17 percentage points over the past year. Meanwhile, the Bank Nifty opened sharply lower on Thursday near the 54,734 mark, with momentum indicators shifting into bearish territory and leaving limited sector-level support for the stock.
"Governance issues and leadership transitions happening concurrently create significant uncertainty for large financial institutions. For a major bank like HDFC Bank, maintaining transparent internal controls and ensuring a smooth handover of executive responsibilities are critical to stabilizing investor confidence during periods of market volatility." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
