Market regulator SEBI is closely monitoring governance developments at Tata Sons, according to Chairman Tuhin Kanta Pandey. Pandey noted that while the holding company is unlisted, the group's 26 listed entities remain strictly subject to compliance and disclosure norms.

Market regulator Securities and Exchange Board of India (SEBI) is actively monitoring developments relating to governance at the holding company level within the Tata Group, according to SEBI Chairman Tuhin Kanta Pandey.

Speaking on the sidelines of the Bharat Chamber Investors Forum launch, Pandey addressed questions regarding governance matters at Tata Sons, the group's holding company. These discussions include topics such as the reappointment of N Chandrasekaran as chairman and questions surrounding its proposed listing.

“At the holding company level, there are some issues, as that’s not really a listed company. The rest of the companies, those which are listed, follow all the LODR (Listing Obligations and Disclosure Requirements) norms,” Pandey told reporters.

When asked directly if the market regulator is keeping track of the group's ongoing developments, Pandey confirmed that SEBI monitors all such developments. However, he did not reference any specific governance violations or mention any regulatory actions taken against the group.

The Tata Group maintains a significant footprint in the Indian markets with 26 publicly listed companies. According to the group's FY25 annual report, these entities boasted a combined market capitalisation of USD 328 billion as of March 31, 2025.

Governance advisory firm InGovern recently analyzed cross-holdings within the group. The analysis indicates that seven listed Tata companies collectively hold approximately 11.92 per cent in Tata Sons. These seven entities are Tata Steel, Tata Motors Passenger Vehicles, Tata Chemicals, Tata Power, Indian Hotels, Tata Consumer Products, and Tata Investment Corporation. Together, these firms account for more than 1.77 crore shareholder or folio accounts.

Ownership structure details show that Tata Trusts holds a commanding stake of around 66 per cent in Tata Sons. Meanwhile, the Shapoorji Pallonji Group maintains approximately an 18.4 per cent stake in the holding company.

While Tata Sons itself remains an unlisted entity, its sprawling network of listed subsidiaries and their promoters continue to fall squarely under SEBI's regulatory purview concerning standard disclosure and compliance obligations.

"The regulatory focus on Tata Sons highlights the complex interplay between unlisted holding companies and their publicly traded subsidiaries in large Indian business conglomerates. For investors and market participants, this underscores the vital importance of transparent governance frameworks at every tier of an organization. As market regulators maintain close oversight of compliance and disclosure norms, holding companies must prioritize clear communication and regulatory alignment to safeguard shareholder interests across listed group entities." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
