NEW DELHI: HDFC Bank Ltd. is facing a leadership transition following the decision of Chief Executive Officer Sashidhar Jagdishan to step down when his current term ends next month. The surprise development follows strategic discussions between Jagdishan and newly appointed Chairman Rajiv Kumar, who assumed office in June.
Kumar, a former finance secretary and chief election commissioner, had outlined several focus areas for the bank, including accelerating loan growth, enhancing technology adoption, addressing legacy issues, and replacing certain senior executives surrounding the CEO. According to people familiar with the matter, Jagdishan resisted these proposed changes and opted not to seek a third term.
The decision was announced at a hastily convened board meeting on Saturday. Although directors attempted to persuade him to stay, Jagdishan held firm. HDFC Bank subsequently issued a statement disputing certain details regarding the discussions and reasons for the CEO's departure, calling them inaccurate, while confirming the timeline of the transition.
The departure comes at a challenging time for India's most valuable bank. HDFC Bank has faced a series of regulatory and governance concerns, including issues related to its Dubai operations, deposit rate practices, and digital platforms. Additionally, the bank's stock has faced downward pressure, declining 28% this year, making it one of the worst-performing financial stocks in the country. Market capitalization has fallen significantly from its peak following the 2023 merger with Housing Development Finance Corp.
The unexpected exit has caught the institution's nomination and remuneration committee without an immediate successor. The bank plans to engage executive search firm Egon Zehnder to lead the search for a new leader. While Chairman Kumar reportedly favors an external candidate to drive faster growth and sharper execution, analysts note that the tight timeline may require an interim appointment, with internal figures such as Deputy Managing Director Kaizad Bharucha mentioned as potential candidates.
Financial institutions and analysts have expressed mixed reactions to the transition. Jefferies Financial Group warned that further departures in top management could impact near-term deposit growth and revenue momentum. Conversely, other market observers suggest that a formal leadership reset could help clear ongoing uncertainty regarding the bank's executive direction.
