HDFC Bank is preparing for a leadership transition as it weighs Deputy Managing Director Kaizad Bharucha as one of two options for its next Chief Executive Officer. According to sources familiar with the matter, India's largest private lender is also actively searching for an external candidate to meet central bank requirements that mandate submitting multiple names for the top post.
The Reserve Bank of India holds the authority to approve top banking appointments. Neither HDFC Bank nor Bharucha responded to requests for comment regarding the succession process.
The upcoming CEO search follows a six-month period of leadership changes and market scrutiny at the bank, which have impacted its share performance. HDFC Bank announced on Saturday that Sashidhar Jagdishan, who has served as CEO since October 2020, decided not to seek reappointment. The bank stated it would fast-track the appointment of a successor.
Jagdishan's planned departure follows the March resignation of former Chairman Atanu Chakraborty, who stated that practices at the bank were at odds with his personal values and ethics. Subsequently, an external legal review found no evidence to substantiate Chakraborty's governance concerns. In a separate matter last month, the board penalized Jagdishan and three other individuals regarding the pricing of large deposits.
Among internal contenders, Bharucha stands out as a long-serving executive who oversees the bank's retail and wholesale businesses. Sources note that Bharucha is eligible for the CEO position under RBI rules, as he is not scheduled to retire until 2029. By that time, he will have served as a full-time director for 15 years, which is the maximum tenure permitted for a whole-time director unless an exemption is sought.
The leadership changes and governance questions have coincided with a 27 percent decline in HDFC Bank shares this year, with the downward trend accelerating following Chakraborty's departure. Additionally, investors have expressed concern regarding the lack of reported gains from the 2023 merger between HDFC Bank and its former parent, HDFC Ltd, a transaction overseen by Jagdishan. Approximately 40 percent of HDFC Bank shares were foreign-owned as of the end of June.
