Meta Platforms has announced a major capital-raising initiative of up to $95 billion in equity to finance its expanding artificial intelligence infrastructure, data centers, and cloud computing requirements.
The financing strategy begins with an initial $35 billion tranche consisting of concurrent underwritten public offerings. This includes 250 million Series A depositary shares representing interests in newly issued Series A Mandatory Convertible Preferred Stock, valued at approximately $12.5 billion. Additionally, the offering includes $22.5 billion of Class A common stock offered through forward sale structures. Meta is also preparing a future at-the-market offering of roughly $60 billion upon the start of trading of its planned Class C common stock, bringing the total potential raise to $95 billion.
This substantial capital push comes as the company projects escalating compute requirements and artificial intelligence investments, with total capital expenditures for 2026 expected to reach between $135 billion and $145 billion. According to the company, these investments are driven by strong engagement, improved advertising performance, and increased monetization across its core business and new products.
To support its long-term infrastructure roadmap, Meta plans to cover its financial outlays through operating cash flows, investment-grade debt, strategic tie-ups, and equity markets. The company reported $97 billion in operating cash flow across the first nine months of 2026, maintaining $82 billion in cash and marketable securities at the close of the third quarter. Revenue for the period rose 26 per cent year-on-year to $64.6 billion, accompanied by a net income of $9.9 billion.
Meta's technological expansion includes recent product rollouts and physical infrastructure developments. In October, the company introduced its Muse Wonder and Muse Wonder Full models to handle professional and personal workloads. The Muse platform recorded initial traction with over 10 million users across the United States and Canada during its rollout phase. Meta reported 3.64 billion daily users across its family of apps as of September 2026.
On the infrastructure front, Meta maintains data facilities in 23 American states and is constructing four gigawatt-scale superclusters to nearly double its total computing capacity over the year. In July, Meta secured $14 billion alongside BlackRock to construct a dedicated data center complex in El Paso, Texas. Under that agreement, BlackRock-managed funds hold an 80 per cent interest, while Meta retains a 20 per cent stake under a shared cost commitment.
"Meta's massive capital raise highlights the enormous financial commitment required to build modern artificial intelligence infrastructure at scale. As tech giants accelerate their investments in data centers and compute capacity, balancing heavy capital expenditures with operational cash flow remains critical for long-term financial sustainability. This move underscores the capital-intensive nature of the current artificial intelligence landscape, where infrastructure readiness dictates competitive advantage." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
