Hyderabad-headquartered organised food, grocery, and value-fashion retailer Ratnadeep Retail Limited has received the Securities and Exchange Board of India's (SEBI) approval to raise funds through an initial public offering (IPO). In the regulatory process, receiving SEBI's observations is equivalent to a go-ahead to proceed with a public issue.
According to the draft red herring prospectus (DRHP), the proposed IPO is a combination of a fresh issue of equity shares aggregating up to ₹400 crore and an offer for sale (OFS) of up to 1.49 crore equity shares by the Promoter Selling Shareholders. The company had filed its draft prospectus with SEBI in July 2026 and obtained its observations this week.
Ratnadeep Retail plans to utilise ₹40 crore from the net proceeds of the fresh issue towards the repayment or prepayment of certain loan facilities availed by the company. Additionally, ₹260 crore will be allocated for setting up new stores under the Ratnadeep and National Mart formats, with the remaining amount designated for general corporate purposes.
Operating across Andhra Pradesh, Telangana, and Karnataka, Ratnadeep Retail focuses on organised retail in food, grocery, and value fashion. As of March 31, 2026, the company operated a total of 190 stores across multiple formats. These include the Ratnadeep format, which features neighbourhood supermarkets under 'Ratnadeep - Mindful Living' and premium food stores under 'Ratnadeep Select'. It also operates National Mart, its value-led hypermarket format, which includes Style Mart for affordable fashion products.
For financial year 2026, Ratnadeep Retail reported revenue from operations of ₹2,223 crore, marking a 15% compound annual growth rate (CAGR) from FY24. The company's profit after tax (PAT) for the same period stood at ₹36.7 crore.
"Ratnadeep Retail's decision to channel a significant portion of its fresh issue proceeds, specifically ₹260 crore, into physical store expansion highlights the continued viability of omnichannel and brick-and-mortar retail in regional markets. Earning SEBI's clearance for a ₹400 crore public issue marks an important milestone for the company, especially as it scales its footprint across Andhra Pradesh, Telangana, and Karnataka. For regional players in the organised grocery and value-fashion sector, capital allocation toward store rollout alongside debt reduction provides a balanced approach to sustainable long-term growth." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
