TVS Motor Company has approved the demerger of its consumer finance and related businesses into a separate holding company, aiming to create a dedicated structure for strategic focus. As part of the restructuring, the company has also announced key acquisitions, share swaps, and a 1:1 share entitlement ratio for eligible shareholders.

TVS Motor Company, part of TVS VENU, has announced the approval of a demerger plan to separate its consumer finance and related business undertaking into a distinct holding company. The strategic move is designed to create value for shareholders and provide greater focus on finance operations.

Under the proposed scheme, eligible shareholders will receive an equal number of shares in the resulting company as they hold in TVS Motor. The plan features a 1:1 share entitlement ratio, granting one fully paid-up equity share of Harita ARC Ltd, with a face value of ₹1 each, for every one fully paid-up equity share of TVS Motor Company held on the record date. The resulting company is slated to be listed on stock exchanges, pending statutory and regulatory approvals.

To facilitate the demerger, TVS Motor Company approved the acquisition of Harita ARC Ltd from TVS Credit Services Ltd for ₹25,000 in cash. Harita ARC will become a wholly owned subsidiary of TVS Motor to house the demerged consumer finance business, with a shareholding pattern mirroring that of TVS Motor Company post-demerger. According to exchange filings, the turnover of the demerged undertaking for the period ended September 30, 2026, stood at ₹3,921 crore out of TVS Motor's total turnover of ₹35,770 crore.

Company statements indicate that the consumer finance business has expanded in scale, requiring a dedicated structure for capital allocation flexibility and to pursue sector opportunities. Sudarshan Venu, Chairman of TVS Motor Company, noted that TVS Credit and Home Credit India collectively serve over 45 million customers across 100,000 touchpoints in India. He highlighted that recent moves, such as the acquisition of education finance company Varthana and an investment in Jana Small Finance Bank, are designed to capture opportunities across India's evolving financial needs.

Alongside the demerger, TVS Motor is amalgamating its wholly owned subsidiary, TVS Motor Services, into itself to streamline group corporate structure, consolidate assets and liabilities, and enhance operational synergies. Additionally, the company approved acquiring a controlling interest in STPL Trading and Services Private Limited for approximately ₹530 crore. STPL, which holds a 7.5 percent share in Home Credit India Finance Private Limited, is currently merging with TVS Credit Services. This transaction will ultimately give TVS Motor an additional 2.4 percent holding in TVS Credit Services Limited following the Home Credit merger.

"Restructuring core operations and separating financial services into a dedicated entity allows large manufacturing and mobility conglomerates to unlock distinct enterprise value. By isolating the finance arm, TVS Motor can streamline regulatory compliance, attract targeted capital, and sharpen its strategic execution in the competitive Indian NBFC sector. This corporate reorganization reflects a maturing approach to managing diverse business verticals under a unified group umbrella." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
