The Board of Directors of Wheels India has approved a preferential issue of equity shares on a private-placement basis for an aggregate consideration of ₹180 crore.
According to a stock exchange filing, the board approved the issuance of up to 12,69,391 equity shares with a face value of ₹10 each. The shares are priced at an issue price of ₹1,418 per equity share for cash consideration.
The designated allottees for the preferential issue include TSF Investments, Srivats Ram, Nivedita Ram, and Gita Ram.
In addition to the preferential issue, the board has approved seeking shareholders' approval to enhance the company's existing fundraising limits. The proposed resolution aims to increase the limit approved by members from ₹400 crore to ₹450 crore.
An extraordinary general meeting (EGM) is scheduled for September 17 to secure formal shareholder approval for the ₹180 crore capital raise and the subsequent increase in the overall fundraising limit.
"The decision by Wheels India to go ahead with a preferential issue of ₹180 crore through private placement highlights a structured approach to capital management. By bringing in specific allottees like TSF Investments and promoter-affiliated individuals, the company is ensuring aligned backing for its financial strategy. Furthermore, seeking shareholder approval to raise the overall fundraising limit from ₹400 crore to ₹450 crore demonstrates proactive planning for future capital requirements. For businesses looking at capital expansion, utilizing preferential issues is an efficient way to secure targeted funding while managing equity dilution carefully." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
