Equitas Small Finance Bank informed stock exchanges on Thursday that its Managing Director and CEO, P N Vasudevan, has resigned from his position. The bank's board of directors took note of the resignation during a meeting held on the same day.
While the company's official statement noted that Vasudevan is stepping down to pursue personal and social initiatives, Vasudevan provided additional context in his resignation letter. He stated that he is resigning to remove an overhang on the company's stock driven by the perception of a conflict of interest. This perception arose after his daughter co-promoted a non-banking financial company (NBFC), Unico Housing Finance, which was licensed by the Reserve Bank of India (RBI) in 2023.
In his letter, Vasudevan addressed the matter directly, stating that he had repeatedly faced questions from investors over the past three years regarding the issue. He maintained that no actual conflict of interest exists because there are no transactions between Equitas Small Finance Bank and the said NBFC.
"In spite of my explaining the above to investors, the perception of conflict continues to persist. I am told by investors that this 'overhang' is causing the stock to underperform, impacting value creation for both shareholders and employees," Vasudevan wrote in his resignation letter. He added that sometimes perceptions are stronger than reality, making it necessary to remove the issue entirely.
Reports indicate that the Reserve Bank of India initiated an inquiry into Equitas Small Finance Bank earlier this year. During the inquiry, the central regulator reportedly questioned board members regarding whether they were fully aware of the relationship between Vasudevan and the NBFC when extending his tenure as MD.
In addition to addressing the perception issue, Vasudevan mentioned his nearly 40-year career in the industry and his desire to take a break to build a corpus for his trust and focus on a different segment of society.
Following the announcement, shares of Equitas Small Finance Bank fell sharply, trading at ₹52.04, which is down over 20 percent on the Bombay Stock Exchange (BSE).
Equitas Small Finance Bank stated that Vasudevan will continue to serve as MD and CEO until a successor is appointed. The board has directed the Nomination and Remuneration Committee to identify both internal and external candidates for the role. Furthermore, the board stated that it does not expect the leadership transition to impact the bank's long-term vision.
"Leadership transitions involving top executives often trigger immediate reactions in public markets, as seen in the sharp drop in Equitas Small Finance Bank's stock. For listed entities, managing market perception and maintaining transparency regarding governance matters are just as critical as operational performance. When perceived conflicts begin to overshadow business fundamentals, proactive steps by leadership become necessary to protect shareholder value and restore market confidence." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
