Frontier AI lab Anthropic has filed its anticipated IPO prospectus, targeting a mid-November public debut on Nasdaq under the ticker symbol 'ANT'. While the exact issue size remains undisclosed, the company is reportedly seeking a valuation of $1.5 to $2 trillion, or 75 to 100 times its trailing revenue.
Founded in January 2021, Anthropic develops large language models including the Claude family—such as Mythos, Fable, Opus, Sonnet, and Haiku—alongside agentic AI platforms like Claude Code and Claude Cowork. The company generates revenue primarily through consumption-based token billing and subscription models, maintaining an approximate 80:20 split between the two. It also provides direct workflow automation guidance and works with mid-sized companies via its 'Ode with Anthropic' initiative.
The company reported impressive growth, reaching $19.7 billion in trailing 12-month revenue. Customer adoption has expanded significantly, with large customers generating $100,000 or more annually growing from about 20 in December 2023 to 11,900 by September 2026. Adjusted operating and net income turned positive in Q2 2026, supported by an operating cash flow surplus in the first half of 2026 and a cash reserve of $131 billion against a balance sheet total of $147 billion.
Despite strong revenue expansion, the prospectus details substantial cost headwinds and financial commitments. Compute and infrastructure expenses—representing leases for server capacity on hyperscalers like Google, Amazon, and Microsoft—accounted for 55 per cent of revenue in the first half of 2026. Anthropic has committed to massive long-term compute lease deals totaling $827 billion, with at least 62 per cent ($512 billion) structured on a non-cancellable basis. Additionally, personnel costs made up 19 per cent of H1 2026 revenue, with two-thirds of that figure driven by share-based payments.
Market observers have also noted potential slowing in sequential revenue growth, falling from 147 per cent in Q2 2026 to an estimated 45 per cent in Q3 2026. Concurrently, average token prices have declined from $2.56 per million tokens in early January 2025 to $0.62, raising questions regarding the potential commoditization of AI models amid competition from cheaper open-weight alternatives.
Anthropic is structured as a Public Benefit Corporation (PBC) and has allocated 5 per cent of its fully-diluted shares as of June 30, 2026, to a wholly-owned public benefit subsidiary. The company also faces potential dilution risks from extensive convertible notes, redeemable convertible preferred stock valued at $266 billion as of June 30, 2026, employee stock options, and ongoing donation-matching programs.
"Anthropic's public market debut represents a critical milestone for the artificial intelligence sector. While the company's rapid revenue scaling and strong customer acquisition are remarkable, investors must carefully evaluate the long-term sustainability of non-cancellable infrastructure commitments and margin pressures. At a valuation target exceeding one trillion dollars, public markets will demand clear visibility into sustainable profitability rather than top-line momentum alone. This offering will truly test how public investors value frontier AI business models against heavy capital expenditure realities." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
