Six Parsi community organisations have formally backed Tata Trusts in its opposition to the public listing of Tata Sons, appealing to Prime Minister Narendra Modi to help protect the company's private status.
The development follows a decision by the Reserve Bank of India in September to retain Tata Sons in the non-banking financial company-upper layer category. Under regulatory norms, compliance with this classification would require the holding company to list its shares on public exchanges.
In response to the listing requirement, Tata Trusts, which is the largest shareholder of Tata Sons, has opposed the move. The trust has suggested a restructuring plan involving the merger of two group subsidiaries with the holding company as a way to avoid public listing.
Earlier this month, the six Parsi organisations wrote a joint letter to the Prime Minister stating that the debate around the listing should not be viewed solely as a regulatory or technical matter. The letter argued that any change altering the balance between long-term stewardship and short-term market expectations could impact the character of the wider Tata group.
The organisations signing the letter include the Bombay Parsi Punchayet, The Federation of Parsi Zoroastrian Anjumans of India, The Federation of Zoroastrian Associations of North America, The Zoroastrian Trust Funds of Europe, Global Council of Zoroastrians Trust, and the World Zoroastrian Chamber of Commerce.
Expressing solidarity with Tata Trusts and the Tata family, the letter highlighted their over 150-year history of service in India. The groups cautioned that any subversion of the company's altruistic character could have wider repercussions.
"The situation surrounding Tata Sons highlights the complex intersection between regulatory compliance for upper-layer non-banking financial companies and the foundational governance structures of legacy business groups. When large holding entities face mandatory public listing thresholds, balancing regulatory mandates with institutional heritage becomes a critical challenge for leadership and key stakeholders." — Dr. Shishir Gupta, Founder & CEO, StartupLanes
